Purchase terms and conditions

1. General provisions

1.1 These Terms and Conditions of Sale and Purchase of Goods (hereinafter referred to as the "Terms and Conditions"), upon acceptance by the Buyer (by reading the Terms and Conditions and by ticking the box next to the statement "With "visitepalai.I have read and agree to the Terms and Conditions"), shall constitute a binding legal document for the parties, which sets out the rights and obligations of the Buyer and MB Euparts (hereinafter referred to as the "Seller"), the conditions of purchase of the goods and the conditions of payment for them, the procedure for delivery and return of the goods, the parties' liability, and any other provisions relating to the purchase of the goods in the online store "visitepalai.lt".

1.2 The Seller reserves the right to change or amend the Terms at any time. Amendments to the Terms and Conditions shall only apply to new orders placed after the amendment to the Terms and Conditions. The registered Buyer will be informed of any changes, corrections or additions to the Terms and Conditions at the time of logging in to the "visitepalai.lt" page and will be required to reconfirm his/her acceptance of the Terms and Conditions in order to make a purchase in this online shop. These Terms and Conditions are valid from 1 March 2012.

1.3. The online shop "visitepalai.lt" shall trade only in the territory of the Republic of Lithuania.

1.4 The following persons have the right to make purchases in the visitepalai.lt online shop: able-bodied natural persons; minors between the ages of fourteen and eighteen, only with the consent of their parents or legal guardians, except when they are independently disposing of their own income; legal persons; and authorised representatives of all of the above.

1.5 By accepting the Terms and Conditions of visitepalai.lt, the Customer confirms that he/she has the right to purchase goods in the visitepalai.lt online shop.

2. Protection of personal data

2.1 The Seller confirms that the personal data provided by the Buyer will be processed only for the purposes of analysis of the Seller's activities and direct marketing of goods and services sold in the online store "visitepalai.lt", unless the Buyer notifies in accordance with the procedure set out in the Terms and Conditions that he/she does not want his/her personal data to be processed for the purposes of direct marketing. The Seller undertakes not to disclose the Buyer's personal data to third parties other than the Seller's partners providing delivery or other services related to the proper execution of the Buyer's order. In all other cases, the Buyer's personal data may be disclosed to third parties only in accordance with the procedure established by the legislation of the Republic of Lithuania.

2.2 By accepting these Terms and Conditions, the Buyer agrees to the processing of his/her personal data (name, surname, address, telephone number and e-mail address) for the purposes of the Seller's business analysis and direct marketing, even if he/she does not choose the right product after registration. By consenting to the processing of his/her personal data for the purpose of the sale of goods and services in the visitepalai.lt online shop, the Buyer also consents to the sending of information messages to the e-mail address he/she provides.

2.3 If the Buyer does not wish to have his/her e-mail address processed for direct marketing purposes, he/she must uncheck the box next to the statement "News by e-mail".

3. Conclusion and validity of the Sale and Purchase Agreement

3.1 The contract between the Buyer and the Seller shall be deemed to be concluded from the moment when the Buyer, having selected the product(s) to be purchased and having formed a shopping cart, indicated the delivery address, selected the payment method and having read these Terms and Conditions in the online store "visitepalai.lt", clicks on the link "Order". The Seller is not obliged to notify the Buyer separately of its agreement to enter into the contract. The Seller shall be deemed to have confirmed the order from the moment it starts to execute it.

3.2 The Contract between the Buyer and the Seller shall be effective from the time of its conclusion and shall remain in full force and effect until the Parties to the Contract have fulfilled all their obligations under it.

3.3 Every contract of sale and purchase concluded between the Buyer and the Seller shall be registered and stored in the database of "visitepalai.lt" online store.

4. Buyer's rights:

4.1 The Buyer has the right to purchase goods in the online store "visitepalai.lt" in accordance with these Terms and Conditions and the procedures established by the online store.

4.2 The Buyer has the right to withdraw from the contract of sale of goods concluded in the online store "visitepalai.lt", as regulated by the Order of the Minister of Economy of the Republic of Lithuania of 17 August 2001 No. 258, approved by the "Rules for the Sale of Goods and the Provision of Services when Contracts are Concluded by Means of Communication", by notifying the Seller in writing (by e-mail), indicating the product to be returned and the order number no later than within 7 (seven) working days from the date of the delivery of the ordered product(s), except for cases where the contract is concluded due to the following reasons:

4.2.1. audiovisual works and phonograms in any video or audio media, the supply of computer programs and the Purchaser has breached the packaging protections;

4.2.2. the supply of books, newspapers, magazines or other periodicals;

4.2.3. the supply of cosmetics, perfumery, household chemicals and hygiene products;

4.2.4. goods that cannot be returned due to their characteristics, including perishable and expired products;

4.2.5. in other cases where the sale and purchase agreement cannot be cancelled, in accordance with the legislation of the Republic of Lithuania.

5. Obligations of the Buyer:

5.1 The Customer undertakes not to pass on his/her login data to third parties. If the Buyer loses his/her login data, he/she must immediately inform the Seller by the means of contact indicated in the "Contact" section.

5.2 If the data provided by the Buyer on the registration form changes, the Buyer must update it immediately.

5.3 The Buyer, using the online store "visitepalai.lt", undertakes to comply with these Terms and Conditions and not to violate the legislation of the Republic of Lithuania.

6. Seller's rights:

6.1 If the Buyer attempts to undermine the stability and security of the online shop or violates his/her obligations, the Seller shall have the right to immediately and without notice limit or suspend the Buyer's access to visitepalai.lt or, in exceptional cases, to cancel the registration of the Buyer.

6.2 In the event of important circumstances, the Seller may temporarily or permanently discontinue the operation of the online shop "visitepalai.lt" without prior notice to the Buyer.

6.3 The Seller shall have the right, at its sole discretion, to determine the minimum basket size, i.e. the minimum amount at which the Buyer's order shall be fulfilled.

6.4 The Seller shall have the right to cancel the Buyer's order without prior notice to the Buyer if the Buyer, having chosen the payment method of bank transfer/electronic banking system, fails to pay for the Goods within twenty-four (24) hours of the placing of the order.

6.5 Where the Buyer chooses to pay by "Cash on Delivery", the Seller shall contact the Buyer by the telephone number specified in the order in the event of any uncertainty about the information provided in the order. In such case, the delivery period shall commence from the date of contact with the Buyer. The Seller shall have the right to cancel the Buyer's order without prior notice to the Buyer if the Seller fails to contact the Buyer within 3 (three) working days.

7. Seller's obligations:

7.1 The Seller undertakes to enable the Buyer to use the services provided by "visitepalai.lt" under the terms and conditions set out in these Terms and Conditions and in the Online Shop.

7.2 The Seller undertakes to respect the Buyer's right to privacy with respect to the personal information belonging to him/her, as indicated in the registration form of the online store, except for the cases stipulated by the legislation of the Republic of Lithuania.

7.3 The Seller undertakes to deliver the Goods ordered by the Buyer to the address of his choice, under the terms and conditions set out in these Conditions.

7.4 If the Seller is unable to deliver the goods ordered to the Buyer due to important circumstances, the Seller undertakes to offer an analogous product or a product that is as similar as possible in terms of its characteristics. If the Buyer refuses to accept an analogous or most similar product, the Seller undertakes to refund the money paid by the Buyer within 3 (three) working days, provided that prepayment has been made.

8. Prices, payment procedures and terms

8.1 The prices of the goods in the online shop and in the order form shall be quoted in euros. The Seller is a VAT payer. All prices are inclusive of VAT.

8.2 The Buyer shall pay for the Goods in one of the following ways:

8.3. Payments can be made using Swed, Seb, Luminor, Citadele, Šiaulių bankas electronic banking services, Visa / MasterCard payment cards, and Knick gift cards. Payments are available in euro. Payments are processed using MakeCommerce.lt payment platform.

8.4 By accepting the Terms and Conditions, the Buyer agrees that the purchase documents - the VAT invoices, which are also the warranty certificates for the Goods, shall be submitted to the Buyer electronically to the e-mail address provided in the Buyer's registration form. The invoices shall specify the goods selected, the quantity, the discounts to be granted, the final price of the goods, including all taxes, delivery charges and any other information required by the legislation governing accounting.

8.5 The Seller reserves the right to change the payment methods by notifying the online store "visitepalai.lt".

9. Delivery of goods

9.1 When ordering the Goods, the Buyer may choose the method of delivery of the Goods, i.e. to use the Seller's delivery service or to collect the Goods from the Seller's "visitepalai.lt" collection point.

9.2 For the convenience of the Buyers and in order to save time, the Seller shall provide delivery services in accordance with the following provisions:

9.2.1 The Buyer, by selecting a delivery service at the time of ordering, undertakes to specify the exact place of delivery.

9.2.2 The Buyer undertakes to accept the Goods himself. In the event that the Buyer is unable to take delivery of the Goods himself and the Goods have been delivered to the address indicated and on the basis of other data provided by the Buyer, the Buyer shall not be entitled to make any claim against the Seller in respect of the delivery of the Goods to the wrong entity.

9.2.3 The Goods shall be delivered by the Seller or its authorised representative.

9.3 The Seller shall be exempt from liability for breach of the time limit for delivery of the Goods if the Goods are not delivered to the Buyer or are not delivered on time due to the Buyer's fault or due to circumstances beyond the Buyer's control.

9.4 The Seller shall deliver the Goods to the Buyer in accordance with the terms specified in the descriptions of the Goods. These time limits are provisional, but they shall not apply in cases where the Seller does not have the goods in stock and the Buyer is informed of a shortage of the goods ordered.

9.5 The Buyer agrees that in exceptional circumstances the delivery of the Goods may be delayed due to unforeseen circumstances beyond the control of the Seller. In such event, the Seller undertakes to contact the Buyer immediately to agree the terms of delivery.

9.6 At the time of delivery of the Goods to the Buyer, the Buyer shall inspect the condition of the consignment and the Goods(s) together with the Seller or its authorised representative and sign the consignment handover-receipt document. Once the Buyer has signed the handover/acceptance document, the consignment shall be deemed to have been handed over in good condition, and there shall be no damage to the goods attributable to defects other than manufacturing defects and no inconsistencies in the composition of the goods (such as can be detected by an external inspection of the goods).

9.7 If the Buyer notices that the packaging of the delivered consignment has been damaged, the Buyer must note this in the document of delivery and acceptance of the consignment and, in the presence of the Seller or his representative, draw up a free-form consignment damage report. If the Buyer fails to do so, the Seller shall be exempted from liability to the Buyer in respect of any damage to the goods, provided that such discrepancies can be detected by an external inspection of the goods.

9.8 More detailed information regarding delivery of the goods and the delivery prices shall be provided with each item.

10. Quality guarantee, returns and exchanges

10.1 The characteristics of each item sold by visitepalai.lt shall be specified in general terms in the description of each item. The Seller shall not be liable for the fact that the colour, shape or other parameters of the goods in the online shop may not correspond to the actual size, shape and colour of the goods due to the characteristics of the display used by the Buyer.

10.2 The Seller shall provide a guarantee of the quality of the goods for a certain period of time for certain types of goods, the specific term and other conditions of which shall be set out in the descriptions of such goods.

10.3 In the event that the Seller does not guarantee the quality of the items, the warranty provided for in the relevant legislation of the Republic of Lithuania shall apply.

10.4.The Seller does not provide after-sales service, but accepts the after-sales goods at the "visitepalai.lt" pick-up point and delivers them to the after-sales service centre itself. Please deliver the goods for warranty service to S. Stanevičiaus g. 94-32, Vilnius, unless otherwise specified in the warranty card.

10.5.The defects of the sold goods shall be eliminated, the defective goods shall be replaced and returned in accordance with the Rules for Return and Replacement of Goods approved by the Order of the Minister of Economy of the Republic of Lithuania of 29 June 2001 No.217.

10.6 In order to return an item in the cases provided for in these Terms and Conditions, the Buyer must complete the return document that accompanies the goods ordered by the Buyer and submit it together with the returned item.

10.7 The following conditions must be complied with when the Buyer returns the Goods:

10.7.1. the returned goods must be in their original packaging in good working order (this does not apply in the case of returns of low-quality goods);

10.7.2. the Goods must be undamaged by the Buyer;

10.7.3. the goods must be unused and in good condition (labels intact, protective film intact, etc.) (this does not apply in the case of returns of low-quality goods);

10.7.4. the returned goods must be in the same condition as when received by the Buyer;

10.7.5. when returning an item, you must present the document of purchase, the warranty card (if issued) and the completed return form.

10.7.6 The Seller shall have the right not to accept the Buyer's returns if the Buyer does not comply with the return procedure set out in this Article.

10.10. The return and exchange of goods shall be carried out in accordance with the "Rules for the Return and Exchange of Goods" approved by the Order of the Minister of Economy of the Republic of Lithuania No 217 of 29 June 2001 and the "Rules for the Sale of Goods and Provision of Services when Contracts are Concluded by means of Communication" approved by the Order of the Minister of Economy No 258 of 17 August 2001.

10.11. In all cases, money for returned goods shall be credited to the payer's bank account.

11. Marketing measures taken by the trader

11.1 The Seller may, at its sole discretion, initiate various promotions in the online store "visitepalai.lt".

11.2 The Seller has the right to unilaterally, without prior notice, modify the terms of the Promotions, including the cancellation thereof.

12. Exchange of information

12.1 The Seller shall send all notices in the manner provided for in these Conditions to the email address/registered post provided by the Buyer.

12.2.The Buyer shall send all notifications and questions to the contact means indicated in the "Contacts" section of the online store "visitepalai.lt".

13. Responsibility

13.1 The Buyer is fully responsible for the accuracy of the personal data provided by him. If the Buyer fails to provide accurate personal data, the Seller shall not be liable for the consequences arising therefrom and shall be entitled to claim direct damages from the Buyer.

13.2 The Buyer is responsible for his/her actions carried out by using the online shop "visitepalai.lt".

13.3 Once registered, the Buyer is responsible for the transfer of his/her login data to third parties. If the services provided by visitepalai.lt are used by a third party who has logged into the online shop using the Buyer's login data, the Seller shall consider this person as the Buyer.

13.4 The Seller shall be exempt from any liability where the loss is caused by the Buyer's failure to read these Terms and Conditions, notwithstanding the Seller's advice and obligations, when given the opportunity to do so.

13.5 If the online store "visitepalai.lt" contains links to the websites of other companies, institutions, organisations or persons, the Seller is not responsible for the information contained therein or the activities carried out therein and does not supervise, control or represent such companies and persons.

13.6 In the event of damage, the party at fault shall indemnify the other party against direct damages.

13.7 The Seller shall not be liable for the proper performance of the obligations between the Buyer and the Seller's partners whose services the Buyer orders.

14. Final provisions

14.1 The Rules are drawn up in accordance with the legislation of the Republic of Lithuania.

14.2 The law of the Republic of Lithuania shall apply to relations arising under the Rules.

14.3 All disagreements arising out of the application and enforcement of the Rules shall be settled by negotiation. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedure established by the legislation of the Republic of Lithuania.

14.4 The Buyer and the Seller shall be excused from the performance of their obligations under these Terms and Conditions if their performance is impossible due to circumstances of force majeure as regulated by the legislation of the Republic of Lithuania.
